Terms & Conditions for HELMS

Welcome to HELMS, a cloud-based Learning Management System (LMS) developed by ISF Group. These Terms & Conditions (“Terms”) govern the use of HELMS and outline the rights and responsibilities of all users. By accessing or using HELMS, you agree to be bound by these Terms, along with our Privacy Policy and other applicable policies. If you do not agree to these Terms, you must immediately stop using HELMS.

1. Definitions

  1. HELMS – Refers to the Holistic Education and Learning Management System operated by ISF Group.
  2. User (“you,” “your”) – Any individual, organization or entity using HELMS.
  3. Services – Includes all features, functionalities and content provided by HELMS.
  4. Account – A registered profile required to access HELMS features.
  5. Intellectual Property (IP) – Includes trademarks, copyrights, patents and proprietary materials related to HELMS.
  6. Master Subscription Agreement – The agreement governing access to HELMS subscription plans.

Payment Services – Refers to all digital payment platforms, electronic payment gateways and online payment methods used for HELMS subscriptions.

2. Acceptance of Terms

By using HELMS, you confirm that you:

  1. Are at least 18 years old or have the legal authority to accept these Terms.
  2. Understand and agree to abide by these Terms of Service.
  3. Have the legal capacity to enter this contract format.
  4. Accept that HELMS reserves all rights to modify, update, or terminate any part of the Services.

3. User Accounts & Responsibilities

  1. Users must provide accurate information during registration.
  2. You are responsible for maintaining the confidentiality of your login credentials.
  3. Any unauthorized use of your account must be reported to HELMS immediately.
  4. HELMS is not liable for damages resulting from unauthorized account access.

4. License & Intellectual Property Rights

HELMS grants users a non-exclusive, non-transferable license to access its best LMS platform.

All intellectual property rights (IPR), including copyright documentation, software code, training platform materials and trademarks, remain the property of ISF Group.

Users may not:

  1. Copy, modify or distribute HELMS learning management software without explicit permission.
  2. Claim ownership over HELMS content.
  3. Reverse-engineer, decompile or misuse HELMS software.

Copyright Meaning & Protection:

  1. All content within HELMS is protected under copyright law and the Copyright Act.
  2. Any violation of IP rights will result in legal action.

5. Use of Services & Restrictions

By accessing HELMS, you agree not to:

  1. Use HELMS for illegal, fraudulent or harmful activities.
  2. Upload or share unauthorized copyrighted materials.
  3. Attempt to bypass security protocols or gain unauthorized access.
  4. Engage in any activity that violates applicable laws or industry standards.

HELMS reserves the right to suspend or terminate accounts that violate these Terms.

6. Payment & Subscription Terms

  1. Certain features require paid subscriptions via our payment portal.
  2. Payments are processed through secure payment gateway service providers.
  3. HELMS offers monthly, annual or enterprise pricing plans.
  4. Late or failed payments may result in temporary suspension of services.
  5. No refunds will be issued once a subscription has started, except where required by law.

7. Content Ownership & Data Responsibility

User-Generated Content:

  1. Users retain ownership of content uploaded to HELMS.
  2. By submitting content, you grant HELMS a limited license to store, process and display it.
  3. HELMS is not liable for data loss, corruption or security breaches.

HELMS Content & Copyright Protection:

  1. HELMS owns all proprietary content, templates and learning modules.
  2. Users must not redistribute or commercially exploit HELMS content without permission

8. Service Modifications & Updates

  1. HELMS may modify, update or discontinue services at any time.
  2. Users will be notified of major changes via email.
  3. HELMS is not liable for damages caused by service modifications.

9. Warranty Disclaimer

  1. HELMS is provided “as is” without any warranties.
  2. We do not guarantee uninterrupted service, error-free operation or specific training outcomes.
  3. Some jurisdictions may not allow limitations on warranties, so some terms may not apply.

10. Limitation of Liability

  1. HELMS shall not be liable for indirect, incidental or consequential damages.
  2. Our total liability for claims shall not exceed USD $2,000.
  3. These limitations do not apply in cases of fraud, negligence or willful misconduct.

11. Termination & Account Suspension

HELMS may suspend or terminate user accounts if:

  1. Terms are violated.
  2. Unlawful activities are detected.
  3. Payment obligations are not met.

Upon termination:

  1. User access is immediately revoked.
  2. All stored data may be permanently deleted.

12. Confidentiality & Data Protection

  1. Both parties agree to protect confidential information.
  2. Users must not disclose proprietary HELMS data without written consent.
  3. Refer to our Privacy Policy for detailed data protection measures.

13. Governing Law & Dispute Resolution

  1. This Privacy Policy is governed by the laws of [India/Singapore/UK/EU, etc.].
  2. Any disputes will first be resolved through mediation/arbitration before legal proceedings.
  3. Class-action lawsuits are not permitted.

14. Marketing & Publicity Rights

  1. HELMS may use your company name & logo for marketing unless you opt out.

15. Compliance with Laws

  1. HELMS complies with global intellectual property laws, copyright documentation standards and GDPR regulations.
  2. Users must not engage in activities that violate trademark, patent or copyright laws.

16. Force Majeure

HELMS is not liable for failure to perform due to:

  1. Natural disasters.
  2. Cyber-attacks or security breaches.
  3. Government regulations or legal orders.

17. Notices & Electronic Communication

  1. By using HELMS, you agree to receive emails, notifications and alerts.
  2. Users must provide a valid email address to receive important updates.

18. Indemnification

Users agree to indemnify HELMS against any legal claims arising from:

  1. Violation of these Terms.
  2. Misuse of HELMS services.
  3. Intellectual property infringements.

19. Changes to Terms

  1. HELMS reserves the right to update these Terms periodically.
  2. Continued use of HELMS after changes means you accept the revised Terms.
  3. Users will be notified in advance of major updates.

20. Miscellaneous

  • Failure to enforce any provision does not waive our rights.
  • If any section is found unenforceable, the rest remain in effect.
  • HELMS may transfer its rights & obligations without prior notice.
